If you do not agree to these terms, please do not use our website or purchase our products.

1. Reseller Status & Intellectual Property

CAD Malaysia acts solely as an authorized reseller of GreenCAD and progeCAD software. We do not develop, own, or maintain either software product. All intellectual property rights, including but not limited to trademarks, logos, product names, source code, and documentation, remain the exclusive property of their respective developers (progeSOFT for progeCAD and GreenCAD developers). CAD Malaysia makes no claim of ownership over any third-party intellectual property.

2. License Grant & Scope

2.1 Upon full payment of the license fee, you are purchasing a perpetual license for the specific version of GreenCAD or progeCAD that you have ordered. This license has no expiry date and requires no recurring annual fees or subscriptions. You may use the purchased version of the software indefinitely, subject to these Terms and the developer's End-User License Agreement (EULA).

2.2 Definition of Perpetual License: A perpetual license grants you the right to use the purchased software version for as long as your hardware and operating system support it. You are not obliged to purchase upgrades to newer versions. You are purchasing a license to use the software, not ownership of the software itself.

2.3 Updates vs. Upgrades:

• (a) Updates (minor patches, bug fixes, and maintenance releases for your purchased version) may be provided by the developer at their discretion. These are typically included at no additional cost.
• (b) Upgrades (new major versions, e.g., from version 2027 to 2028) are not included in the perpetual license. You may be offered discounted pricing for upgrades, but this is not guaranteed and is at the developer's discretion.

2.4 Your use of the software is also subject to the End-User License Agreement (EULA) provided by GreenCAD or progeCAD. You agree to review and comply with the vendor's EULA, which is available here.

2.5 Important Disclosure: While your license is perpetual, its continued functionality may be affected if the developer company discontinues the product, ceases operations, or changes its licensing infrastructure (e.g., deactivates activation servers). This is a standard industry practice and is beyond our control as a reseller. We encourage you to review the developer's official policies for further details.

3. Customer Obligations

3.1 You are responsible for ensuring that the software meets your technical and business requirements before purchase. We strongly recommend using the 30-day fully working trial available on our website to evaluate the software's compatibility with your systems and workflows.

3.2 You agree not to copy, modify, reverse engineer, decompile, disassemble, sublicense, rent, lease, loan, distribute, or redistribute the software except as expressly permitted by the developer's EULA.

3.3 You agree to use the software in compliance with all applicable Malaysian laws and regulations, including but not limited to export control laws.

3.4 You agree not to remove, alter, or obscure any proprietary notices, labels, or marks from the software or documentation.

4. Support & Technical Assistance

4.1 Technical support is provided directly by the software developers (progeSOFT for progeCAD and the GreenCAD development team). CAD Malaysia does not develop or maintain the software and therefore does not provide technical support, bug fixes, or troubleshooting beyond basic sales inquiries.

4.2 We may, at our discretion, assist with installation or basic inquiries as a courtesy, but this is not a binding obligation and does not create a support relationship.

4.3 The availability of future updates, support, or product versions depends entirely on the developer companies and is not guaranteed by CAD Malaysia.

5. Payment & Delivery

5.1 Full payment must be completed before license keys are released. We accept payment methods as displayed on our website during checkout.

5.2 Delivery is entirely electronic: license keys, download links, and documentation will be sent to the email address you provide during checkout. Please ensure your email address is correct and that you can receive emails from our domain.

5.3 No physical media (CDs, USB drives, printed manuals) are provided unless explicitly stated in writing at the time of purchase.

5.4 Delivery time is typically within 24-48 business hours of payment confirmation. Delays may occur during weekends, public holidays, or if additional verification is required.

6. Refund Policy

ALL SALES ARE FINAL. NO REFUNDS WILL BE PROVIDED FOR ANY REASON.

By purchasing a license for GreenCAD or progeCAD from CAD Malaysia, you acknowledge and agree to the following:

• (a) A fully working 30-day trial version of the software is available for free download from our website. You are strongly encouraged to download, install, and thoroughly evaluate the trial version to verify that the software meets your technical, functional, and compatibility requirements before making any purchase decision.
• (b) Once a license key is generated and delivered to you, the sale is considered complete and final. License keys are unique, system-generated, and cannot be reused, resold, or deactivated once issued.
• (c) The digital nature of software licensing means that license keys are delivered electronically and cannot be "returned" like physical goods. Even if a license has not been activated by the customer, the license key has been generated and is permanently associated with your purchase.
• (d) No refunds will be issued for:
  • (i) Change of mind, buyer's remorse, or failure to test the software before purchase.
  • (ii) Hardware or operating system incompatibility (the 30-day trial allows you to verify compatibility).
  • (iii) Dissatisfaction with software features, performance, or user interface (the trial version allows you to evaluate these before purchase).
  • (iv) Loss, theft, or misplacement of license keys, download links, or copy protection devices (such as USB dongles).
  • (v) Discontinuation of the product, changes in developer policy, or developer ceasing operations.
  • (vi) Inability to use the software due to changes in your hardware, operating system, or network environment.
• (e) The ONLY circumstance under which a refund may be considered is if CAD Malaysia fails to deliver the license key within 7 business days of payment confirmation, and we are unable to resolve the delivery issue. In such a case, you must contact us within 14 days of payment.

By completing your purchase, you confirm that you have downloaded and tested the free 30-day trial version of GreenCAD or progeCAD and are satisfied that the software meets your requirements. You further acknowledge that you are making an informed purchase decision and agree that no refunds will be provided.

7. Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAD MALAYSIA PROVIDES THE SOFTWARE AND SERVICES "AS IS" AND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the software will be error-free, uninterrupted, secure, or compatible with your specific systems, hardware, or other software. The software developers provide their own limited warranties as stated in their respective EULAs.

COMPUTER-AIDED DESIGN SOFTWARE AND OTHER TECHNICAL SOFTWARE ARE TOOLS INTENDED TO BE USED BY TRAINED PROFESSIONALS ONLY. THEY ARE NOT SUBSTITUTES FOR YOUR PROFESSIONAL JUDGMENT. CAD MALAYSIA SHALL NOT BE LIABLE IN ANY MANNER WHATSOEVER FOR THE RESULTS OBTAINED THROUGH THE USE OF THE SOFTWARE. YOU ARE RESPONSIBLE FOR THE SUPERVISION, MANAGEMENT, AND CONTROL OF THE SOFTWARE AND FOR ESTABLISHING ADEQUATE INDEPENDENT PROCEDURES FOR TESTING THE RELIABILITY AND ACCURACY OF ANY PROGRAM OUTPUT, INCLUDING ALL ITEMS DESIGNED BY USING THE SOFTWARE.

8. Limitation of Liability

8.1 IN NO EVENT SHALL CAD MALAYSIA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, GOODWILL, BUSINESS INTERRUPTION, OR LOSS OF OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR PURCHASE, USE, OR INABILITY TO USE THE SOFTWARE OR SERVICES, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY.

8.2 Our total aggregate liability to you for any claims arising from these Terms or your purchase, whether in contract, tort, or otherwise, shall not exceed the total purchase price you paid for the specific license that gave rise to the claim.

8.3 CAD Malaysia shall have no responsibility or liability whatsoever arising from loss or theft of the Software or of any copy protection device (such as a USB dongle) with which the Software is supplied. You are solely responsible for safeguarding the Software and any copy protection device from loss or theft and protecting your investment through insurance or otherwise.

8.4 The above limitations may not apply to you because some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless CAD Malaysia (Debiz Enterprise), its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• (a) Your breach of these Terms and Conditions.
• (b) Your breach of the developer's EULA.
• (c) Your misuse of the software.
• (d) Any violation of law or third-party rights caused by your use of the software.
• (e) Any claim that your use of the software infringes or violates any intellectual property rights of a third party.

10. Force Majeure

CAD Malaysia shall not be liable for any failure to perform its obligations under these Terms where such failure is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, government actions, internet outages, power failures, or supplier failures.

11. Termination

11.1 These Terms shall terminate automatically without further notice or action by CAD Malaysia if you, the licensee, become bankrupt, make an arrangement with your creditors, or go into liquidation.

11.2 CAD Malaysia may terminate this Agreement immediately upon written notice if you fail to comply with any material term or condition of these Terms or the developer's EULA. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

12. Governing Law & Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or relating to these Terms, your purchase, or your use of the software shall be subject to the exclusive jurisdiction of the courts of Malaysia.

13. Entire Agreement & Severability

13.1 These Terms, together with the developer's EULA, constitute the entire agreement between you and CAD Malaysia and supersede any other communications, advertising, or prior agreements with respect to the Software and Documentation.

13.2 If any provision of these Terms is found to be invalid, illegal, or otherwise unenforceable, the remaining provisions shall remain fully effective, and the parties shall be bound by obligations which approximate, as closely as possible, the effect of the provision found invalid or unenforceable, without being themselves invalid or unenforceable.

13.3 No failure or delay by CAD Malaysia in exercising any right or remedy shall operate as a waiver of that right or remedy.

14. Amendments

CAD Malaysia reserves the right to update, modify, or change these Terms and Conditions at any time without prior notice. Any changes will be effective immediately upon posting on this page. Your continued use of our website or purchase of software following any changes constitutes your acceptance of the revised Terms. The date of the latest revision will always be displayed at the top of this document.
